Partner Programme Terms & Conditions

1. Parties

These terms form a legally binding agreement between LeadPilot (“we”, “us”, “the Company”) and the individual who accepts them (“Partner”, “you”). By creating a partner account you confirm that you have read, understood, and agreed to these terms in full.

2. Independent contractor status

You are an independent contractor. Nothing in this agreement creates or is intended to create:

  • an employment relationship;
  • a worker relationship;
  • a partnership, joint venture, or agency relationship;
  • any obligation on LeadPilot to provide work, minimum earnings, or any benefit associated with employment (including holiday pay, sick pay, pension contributions, or statutory rights).

You have no authority to act on behalf of LeadPilot, make commitments in our name, or represent that you are an employee or agent of LeadPilot.

3. Your tax and National Insurance obligations

Commission payments made to you are gross. LeadPilot does not deduct income tax, National Insurance contributions, or any other statutory deduction on your behalf.

You are solely responsible for:

  • registering for Self Assessment with HMRC if your commission income (combined with any other self-employment income) exceeds the trading allowance (currently £1,000 per tax year);
  • declaring all commission income on your Self Assessment tax return;
  • paying any income tax and Class 2 / Class 4 National Insurance Contributions due;
  • complying with any VAT obligations if your total taxable turnover exceeds the VAT registration threshold (currently £90,000 per year).

We strongly recommend you keep records of all commission payments you receive. You can download a full history at any time from your partner dashboard. If you are unsure of your obligations, seek advice from a qualified accountant or contact HMRC directly.

4. How commissions are earned

A commission of £1 is earned per qualified lead generated by a business that signed up using your unique referral link, subject to the following conditions:

  • The lead must be classified as “qualified” by the LeadPilot system.
  • The referred business must have paid their LeadPilot invoice in full. Commissions are not confirmed until payment clears.
  • The referral attribution must have been captured at the time the business created their LeadPilot account. Retroactive attribution is not possible.

Commission rates and terms may change with 30 days’ written notice. Changes do not affect commissions already confirmed at the time notice is given.

5. Payouts

Payouts are made via Stripe Connect to a bank account you register. You must complete Stripe’s identity verification (“KYC”) before any payout can be made. This is a Stripe and regulatory requirement — we have no discretion over it.

Monthly schedule: LeadPilot processes payouts automatically on the 1st of each calendar month and covers the Stripe transfer fee. A minimum balance of £5.00 confirmed is required for a payout to be triggered.

On-demand schedule: You may request a payout at any time once you have £5.00 or more confirmed. A Stripe Connect transfer fee (currently 0.25% + 25p) is deducted from the transfer amount and is borne by you, not LeadPilot.

6. Conduct and prohibited activities

You must not:

  • make false or misleading statements about LeadPilot, its pricing, or its service;
  • use spam, unsolicited messages, or deceptive advertising to generate referrals;
  • refer businesses that you know intend to misuse the LeadPilot platform;
  • create self-referrals (referring yourself, your own business, or a business you control);
  • impersonate a LeadPilot employee or suggest you are acting with LeadPilot’s authority.

Breach of this clause may result in immediate suspension of your partner account and forfeiture of unconfirmed commissions.

7. Termination

Either party may terminate this agreement at any time with 14 days’ written notice. You will receive any confirmed commissions that have accumulated up to the termination date. Pending commissions (awaiting business payment) that do not confirm within 90 days of termination will be forfeited.

LeadPilot may terminate immediately without notice in cases of fraud, misrepresentation, or serious breach of these terms.

8. Liability

To the maximum extent permitted by law, LeadPilot’s aggregate liability to you under this agreement is limited to the commissions paid to you in the 3 months preceding the event giving rise to the claim. LeadPilot is not liable for any indirect, consequential, or lost-profit damages.

9. Governing law

This agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to these terms

We may update these terms from time to time. We will notify you by email at least 30 days before any material change takes effect. Continued use of your partner account after the effective date constitutes acceptance of the updated terms. The version number at the top of this page identifies which version you are reading.
